IUA Constitution
Chapter one
Essence 1- Based on 262nd civil revolution council and related regulation meeting’s sanction on October 28th 1991, Iranian Urologic Association on the basis of roles below will be known as “ASSOCIATION”
Essence 2- This association works on different scientific branches and research, secularly and the members have not the right to use the association’s item for politic proposes or politic parties.
Essence 3- This association is a non –profiting unit, is the fourth approval of 262nd meeting of the high council of cultural revolution, was registered and it has legal characteristic and the head of board of mangers is the legal representative.
Essence 4- The main office of this association is in Tehran, other branches can be placed anywhere.
Essence 5- The allegiance of this association is Iranian.
Essence 6- after the approval date of constitution this association is formed for an unlimited time and is bounded to obey IRIB roles.
Chapter two: definition of aims and functions
Essence 7- In order to achieve mentioned aims, activities below will take place:
7-1. Forming research, scientific and educational communications, with researchers, specialists and experts working on urologic subjects.
7-2. Cooperating with ministry of health and hygiene and medical educations and universities in programming educational and reeducation sessions and seminars.
7-3. Evaluation of educational system and give the necessary suggestions.
7-4. Educational and scientific and technical and research services.
7-5. Encouraging scientists, researchers and scalars to develop scientific, research and educational activities.
7-6. Prepare, compile and publish scientific and educational leaflets and dispose educational and research gatherings in Iran and aboard regarding to Iranian laws.
Chapter three: membership
Essence 8 – membership process
8-1. Continuing membership: Board of committee and all collogues who are at least specialist in urology or a related course, with regards to constitution, can use this type of membership.
8-2. Related membership: For all the specialists in urology, nephrology and surgery.
8-3. Members of honor: Iranian or foreign colloquies with high scientific, social or civil sate .or who have effectively helped in reaching the association’s goals can be accepted as members of honor.
Note1- By obtaining qualifications and approval of board of managers, related members can be accepted as continuing members.
Note2- All the continuing members should have all the qualifications named in essence 7 of association’s constitution and 4th essence of 262nd approval of the high council of Cultural Revolution.
8-3. Senior members: urologists collogue over 70 years of age are characterized as the senior members.
Essence 9- The entire member should pay the approved sum by the boar of managers as the membership fee.
Note1- paying the fee will not give any moral obligations towards the association properties.
Essence 10- In any one of the following cases the membership will be subscribed
10-1. member’s written resignation.
10-2. not paying the membership fee in extension of time approved by the board of managers.
10-3. membership qualification decline or definite conviction in any primary or superior boards of police department or the medical council will lead to permanent or temporary suspension.
Note 1: duration of temporary suspension is the same as MD suspension.
Note 2: final decision about cutting the membership or denying it is up to the board of committee.
Chapter four
DIGNITARIES OF THE ASSOCIATION
Essence 11- dignitaries of the association are
11-1. public assembly
11-2. board of committee
11-3. Observer
A) Public assembly
Essence 12- the public assemblies are a meeting of permanent members in one these either ways:
12-1. regular public assemblies are held once a year for disgusting regular matters of the association.
12-2. Extra assemblies are held if necessary in order to decide about changes in Constitution or about disorganizing the association and after the commissary approval due to 4th note of 262nd essence of the high council of cultural revelation dated on 7/8/1370, it will be performed.
The public assemblies are hold with board of committee or observer’s summoning.
Note 1- these assemblies are known officiated if only half + one of the members participate.
Note 2- on the first public assembly, association’s members will chose one person as the head of the assemblies and two peoples as the assembly’s secretaries. The members will be informed about the exact date of sessions of the public assemblies by an advertisement in the daily newspapers and letters if necessary.
Note 3- if the number of members for a session is not as mentioned, the following month the member will be noted the same and even if the numbers were not officiate again, the assembly will be hold.
Essence 13- public assembly’s duties
13-1. hearing the report of the board of committee, and observer, and investigating and deciding about annual activities of the association.
13-2. deciding about the association’s balance-sheet and budget and membership fee.
13-3. selecting or deposing the board of committee.
13-4. selecting an observer and a substitute observer.
13-5. approval of all the regulations and executive matters necessary for progressing of the association’s aims, suggested by the board of committee.
13-6. choosing wide circulating news paper for association’s notes.
Note: in all the assemblies the representative mentioned in not 1 essence 1 of the constitution of organizing and essence 2 of 262nd meeting of high council of Cultural Revolution on 7/8/1370 will be invited and if necessary in absence of this member the meeting will be canceled.
B) Board of committee
Essence 14- the board of committee is contained of 5 to 9 members and 2 substitute members. Mentioned members will be elected with permanent member’s votes every 2 years. Reelection is acceptable. Membership in the board of committee is honor membership.
Essence 15- the board of committee will elect a president, a Vice-president and a managing director and a treasurer on the first gathering by majority of the votes.
Note1. The president of the board of committee will be known as the legal party of the association in all the authorities.
Note 2. The signature of the treasures and the president and in the absence of the president, vice-president’s signature will be necessary for all the contacts.
Note 3- if one of the members of the committee is absent for 3 following or five alternate meetings will be considered resigned.
Note 4- if one of the board of committee’s members resigns or pass away or discharged the substitute member will take his/her position till the end of the period.
Essence 16- the board must invite all the members for reelection at least 4 month before the period is over and will have to report the results to ministry of health an hygiene immediately.
Note- the old board is responsible until the new board is approved by the ministry.
Essence 17- duties and authorities of the board
17-1. regular and extra duties and authorities
17-2. performing the decisions made in public assemblies
17-3. performing scientific, research and technical congresses and gatherings.
17-4. performing the roles and executive regulations
17-5. annual reports of association’s activities
17-6. to prepare the balance-sheet
17-7. accepting non-pecuniary and cashes given to the association.
17-8. giving suggestions for correction and changes in the constitution
17-9. directing the association due to constitution.
17-10. forming executive and specialized committees and deciding about their duties and authorities and observing them.
17-11. electing and introducing association’s representative to internal and foreign associations
17-12. to lodge a complain against true or legal characters and to defend against charges against the association
17-13 deciding about association’s membership in internal and foreign assemblies according to its constitution
17-14. suggesting the association’s disorganization to the extra assemblies
C) Observer
Essence 18- the association will have an observer and a substitute observer who will be elected every two years by the member’s secret votes. Observers must be a permanent member.
Essence 19- observer’s duties
19-1. observing all of the association’s documents and prepare a report for all the assemblies
19-2. observing the board of committee’s reports on ever financial and non financial matters
19-3. reporting any sort of offends against roles
19-4. summoning for assemblies if necessary
Essence 20- the observers may attend all the board of the committee’s meeting but will not have the right to vote
The observer has the right to ask for the board’s documents any time
Essence 21- in the end of every financial annum the board has to represent a report on all the activities and balance-sheet at least 45 days before the assembly to the observer

Chapter five
Essence 23- by the request of the board of committee or the observer or 1/3 of the permanent members and by approval of the extra public assembly the association is disorganized
Essence 24- if the extra assembly decides on disorganization of the association, must ascertain a board of refine and its duration of duty.
Essence 25- the board of refine on the annual assemblies of the association will present a report on its activities, these activities must be approved by the mentioned assembly, and the result must be published in a news paper officially and must be noted to the ministry of health and hygiene and medical education
Note. After considering the association’s debts and expenses and the board of committee’s approval, the rest of the property will be given to one of the educational or research centers of the country.
Chapter six
OTHER LAWS
Essence 26- proposals and programs and other activities foresaw in the constitution if related to one of the ministries or governmental organizations, after earning the permission will be performable.
Essence 27- this constitution is contained of six chapter and 27 essences and 14 notes and on 1/8/1372(October 22nd 1993) was approved by the public assembly of board of founders.
